1. Acceptance and scope

This End User License Agreement ("EULA") is a legal agreement between you and Scaffold Insite Inc. ("Scaffold Insite", "we", "our", or "us") governing access to and use of the SLAM platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to this EULA. If you use the Service for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

2. License grant

Subject to your compliance with this EULA and all applicable fees, Scaffold Insite grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for internal business operations.

4. Account and security responsibilities

You are responsible for account confidentiality, authorized user behavior, and promptly reporting suspected unauthorized access. Scaffold Insite may suspend access where reasonably necessary to protect the Service, users, or legal compliance.

5. Fees and service changes

Paid use is subject to your applicable order form, proposal, or subscription terms. Scaffold Insite may update features and pricing with notice as required by applicable law or contract.

6. Data rights and ownership

Service and Platform Rights: Scaffold Insite owns all rights, title, and interest in and to the Service, including software, workflows, models, documentation, interfaces, and all related intellectual property.

Non-Personal Data Rights: To the fullest extent permitted by law, Scaffold Insite owns rights in data collected or generated through operation of the Service that is not personal data, including telemetry, system logs, operational metrics, usage patterns, de-identified datasets, aggregated analytics, and derivative insights.

Personal Data Rights: Personal data remains the data subject's data and is processed in accordance with applicable law. Nothing in this EULA transfers a user's legal rights in personal data to Scaffold Insite.

License to Process: You grant Scaffold Insite a worldwide, non-exclusive license to host, process, transmit, and use data you submit solely to provide, secure, support, comply with law, and improve the Service.

No Sale of Personal Data: Scaffold Insite does not sell personal data. We use collected data, including de-identified and aggregated data, to improve platform quality, reliability, safety, and product capabilities.

7. Privacy and global compliance standards

Scaffold Insite maintains privacy and security controls aligned with recognized international standards and applicable laws, including U.S. and Canadian requirements such as PIPEDA, substantially similar provincial private-sector laws, and U.S. state privacy laws where applicable (including CCPA/CPRA). Additional regional requirements are addressed where legally applicable to specific processing activities.

Privacy handling details, rights requests, and international transfer safeguards are described in the Privacy Policy, which is incorporated by reference.

8. Confidentiality and security

Each party must protect the other party's confidential information with reasonable care. Scaffold Insite applies administrative, technical, and physical safeguards suitable to the nature of processed data. No online service is absolutely secure.

9. Intellectual property and feedback

Except for rights expressly granted in this EULA, no rights are granted to you. If you provide feedback, suggestions, or ideas, you grant Scaffold Insite a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCAFFOLD INSITE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. SCAFFOLD INSITE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Scaffold Insite and its affiliates from third-party claims arising from your misuse of the Service, your data, your breach of this EULA, or your violation of law.

13. Termination

This EULA remains in effect while you use the Service. Scaffold Insite may suspend or terminate access for breach, non-payment, security risk, or legal necessity. Upon termination, your license ends immediately.

14. Governing law and venue

This EULA is governed by the laws of Ontario and applicable federal laws of Canada, without regard to conflicts principles. The courts in Ontario, Canada have exclusive jurisdiction, except where mandatory law requires otherwise.

15. Updates to this EULA

Scaffold Insite may update this EULA from time to time. Material updates will be communicated through the Service or by other reasonable means. Continued use after the effective date constitutes acceptance.
